Tellaw Wallet Limited, referred to as "we," "us," or "our," is a reputable company that specializes in developing blockchain software. We focus on using decentralized technologies to provide secure and reliable digital asset management services to individuals, such as yourself, referred to as "you" or "your." Our website, https://tellaw.com, is a top-level domain that provides information about Tellaw and our offerings. We also have sub-domains for our product offerings, including text, images, audio, code, and other materials or third-party information (collectively referred to as the "Sites").
Due to the rise of scams targeting digital assets, we recommend that you verify the SSL certificate each time you visit our website. These Terms of Service will only apply to the domain website https://tellaw.com with the valid SSL certificate issued by Encryption Everywhere DV TLS CA. You must ensure the authenticity of the SSL certificate before downloading, clicking, or otherwise interacting with the website you are visiting. Please note that we have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We will not be liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
These Terms of Service govern your access to and use of the Site and Services (as defined below) provided by us. This is an agreement between us and you, or the entity you represent. Please read these Terms of Service carefully before using the Site or Services. By using the Site, clicking a button or checkbox to accept or agree to these Terms of Service, completing an order form for Services, or using or otherwise accessing the Services (the "Effective Date"), you (1) accept and agree to these Terms of Service and any additional terms, rules, and conditions of participation issued by us from time to time and (2) consent to the collection, use, disclosure, and other handling of information as described in our Privacy Policy. If you do not agree to these Terms of Service, then you may not access or use the Services.
We remind you to carefully read the full content of these Terms of Service and other documents mentioned in these Terms of Service before using our mobile application "Tellaw," available on various mobile platforms, including but not limited to the Google Play Store and the Apple App Store (the "App"). In particular, you must carefully read the section on "Disclaimer and Limitation of Liability." You must fully understand the entire Terms of Service and evaluate the risks of using Tellaw on your own.
Confirmation and Acceptance of these Terms of Service
- When using Tellaw and its Decentralized Applications (DApps), you are agreeing to the Terms of Service and other relevant documents that apply to Tellaw, which are developed and owned independently by us (excluding DApps developed by third parties). By downloading Tellaw and creating or recovering an Identity or importing a wallet, you are acknowledging and accepting these Terms of Service, which will become legally binding on both you and us immediately. If you do not agree to the Terms in these Terms of Service, you must stop using Tellaw and delete it if you have downloaded it.
- By accessing or using Tellaw, you agree to be bound by the latest version of these Terms of Service without modification. You also agree that you are of legal age to use Tellaw and create binding legal and financial obligations in the jurisdiction to which you are subject, and that you are not an Excluded Person (as defined below).
- We may modify or replace these Terms of Service at any time at our sole discretion, and the modified Terms of Service will become effective once posted on our sites. Your continued use of Tellaw after any modifications constitutes your acceptance of the modified Terms of Service.
- Tellaw is a multi-coin blockchain wallet developed by us based on distributed ledger technology and other supporting tools for your convenience when using blockchain systems.
- In these Terms of Service, an Excluded Person refers to a person who is either not a natural person with the legal and mental capacity to enter into these Terms of Service or who is prohibited, restricted, unauthorized, or ineligible under these Terms of Service, laws, regulatory requirements, or rules in their jurisdiction to use the Services. Users resident and/or domiciled in China are considered Excluded Persons. If you are an excluded person, please stop using our services immediately, as we do not provide services to excluded persons. If you choose to continue using our services despite being an excluded person, you acknowledge and agree that you will be solely responsible for any corresponding liabilities under the applicable laws, rules, and regulations of the jurisdiction in which you reside and/or are domiciled. Additionally, you agree to indemnify us from any liabilities arising from your use, including but not limited to losses, third-party claims, or administrative penalties resulting from your contravention, violation, or breach. You will also be responsible for any reasonable legal and administrative costs, fees, and expenses, including reasonable attorney's fees.
- Blockchain Identity: This refers to the unique identity generated by pairing your Public Key and Private Key on the blockchain.
- Beginner’s Guide: This is an operation guide that we provide to help you understand the basics of blockchain before and during your use of Tellaw.
- Wallet Creation or Import: This refers to the process of creating or importing a wallet using Tellaw, after you have agreed to these Terms of Service.
- Wallet Password: This is the password you choose when creating a wallet. It is used to encrypt and protect your Private Key. As a decentralized application, Tellaw does not store your Wallet Password on our servers or your mobile device. If you lose or forget your Wallet Password, you will need to reset it using your Private Key or Mnemonic Words.
- Alerts: These are messages displayed on Tellaw's interface that provide suggestions for subsequent operations.
- Specific Users: These are users who must disclose Personal Information to comply with the laws, regulations, and policies of Singapore and other countries.
- Developer Users: These are users who use services provided to developers, such as Tellaw Open Source Code and Developer mode, in accordance with our notices and relevant Open Source License.
- Private Key: This consists of 256 random bits and is the core for holding and using Tokens.
- Public Key: This is derived from the Private Key and is used to generate wallet addresses for receiving Tokens.
- Mnemonic Words: This consists of 12 (or 15/18/21/24) randomly generated words based on BIP39, the industry standard of blockchain. It is a human-readable format for backing up your Private Key for recovery purposes.
- Keystore: This refers to Private Key or Mnemonic Words in a file format that is encrypted and protected by your Wallet Password. Keystore is stored only on your mobile device and is not synchronized to our servers.
- Tokens: This refers to the Tokens currently supported by Tellaw, including but not limited to BTC, ETH, and others.
- Materials: These are contents in the "Browse" and "Market" columns on Tellaw. The Materials are the proprietary property of third parties, and you are not authorized to reproduce or distribute them without their permission. These Materials are solely for reference purposes and should not be considered as guidance or advice on your transactions provided by us.
- Notification Centre: This is the inbox where you may receive messages or notices from us.
- Personal Information: This refers to information recorded in electronic or any other form that may identify a natural person when used alone or in combination with other information, including but not limited to personal biological identification information, email address, wallet address, mobile device information, operation record, and transaction record. It does not include Wallet Password, Private Key, Mnemonic Words, or Keystore.
- Smart Contract: This refers to the type of Smart Contract operating on Ethereum blockchain that spreads, verifies, and executes contracts via information methods.
- WETH: This refers to the tokenization of ETH. Since ETH does not satisfy the ERC20 standard, it is packaged via tokenization to enable direct transactions with other Tokens. The exchange rate between Tokens supported by Tellaw and WETH is determined by third-party-developed Smart Contracts.
- ETH: This refers to Ether, the cryptographic token associated with the Ethereum blockchain, but does not include "Ethereum Classic".
- Tellaw OSC, which is a partial software code of Tellaw made publicly available as open-source, can be used by developer users (including for further development) in compliance with relevant open-source licenses and our notices.
- An Open Source License is a third-party-developed license that developer users must adhere to when using Tellaw OSC.
- Third-Party Services refer to products and services provided by third-party entities, including but not limited to DApps, Smart Contracts, Open Source Licenses, cryptocurrency hardware wallets, webpages, and exchanges。
Tellaw Services (collectively, the “Services”)
You can perform a variety of functions using Tellaw, a platform for managing digital Tokens and multi-blockchain wallets. Here are some of the services available to you:
- Create or Recover Identity: You can use Tellaw to create or recover your Identity and manage multi-blockchain wallets under one Identity.
- Import wallet: You can create a new wallet or import wallets generated by other wallet applications, but only if the Tokens are supported by Tellaw.
- Transfer and receive Tokens: You can manage your digital Tokens by using the transfer and receipt functionalities of Tellaw. You can transfer Tokens to the ENS domain or blockchain address of the payee, and the transaction will be recorded on the distributed ledger of the relevant blockchain system.
- Observe the quotation: You can use Tellaw to observe the quotation of Tokens provided by third parties. The quotation of each Token is captured by Tellaw from corresponding exchanges and displayed in the “Market” column on Tellaw.
- Manage Tokens: You can add, manage, or delete Tokens supported by Tellaw, except for ETH and BTC.
- Decentralised Exchange (DEX): You can exchange digital Tokens with third parties on the third-party-developed Smart Contract. Tellaw acts as an interface tool for you to interact with the third-party-developed Smart Contracts and displays relevant results of such exchange of digital Tokens.
- Browse DApps: You can visit and use the services provided by DApps, including those developed by us and third parties.
- Search DApps: You can use the search box on Tellaw to search for DApps that are already displayed on Tellaw.
- Integrate crypto currency hardware wallet: You can match Tellaw with certain crypto currency hardware wallets and use them to confirm transactions operated through Tellaw.
- Payment without Password: You can use the function of Payment without Password of Tellaw. The Payment without Password function stores your Wallet Password in your mobile devices’ Keychain/Keystore via secure encryption algorithm, and your biological identification (Touch ID or Face ID) and authentication are called when conducting transactions to quickly complete payment and signature.
- Developer mode: For Developer Users, they may access any websites and any third-party-developed DApps not integrated on Tellaw by entering URL in search box under the Developer mode.
- Transaction records: We will copy all or part of your transaction records from the blockchain system. However, you should refer to the blockchain system for the latest transaction records.
- Suspension of service: We may suspend or limit the function of Tellaw used by a particular user under certain circumstances.
- Other services: We may provide other services that are not listed here.
Users who use Tellaw acknowledge and accept that:
- In order to maintain the decentralization feature of blockchain and ensure the security of your digital Tokens, we provide a decentralized service that differs greatly from traditional banking and financial institutions. Please note that we will not be held responsible for the following:
-Storing your Wallet Password, Private Key, Mnemonic Words, or Keystore.
-Recovering your Wallet Password, Private Key, Mnemonic Words, or Keystore.
-Freezing the wallet.
-Reporting the loss of the wallet.
-Recovering the wallet.
-Rolling back transactions. - It is your sole responsibility to take care of your mobile devices, backup the Tellaw App, and backup the Wallet Password, Mnemonic Words, Private Key, and Keystore. If you lose your mobile device, delete the Tellaw App or your wallet without backing it up, your wallet is stolen, or you forget your Wallet Password, Private Key, Mnemonic Words, or Keystore, we will not be able to recover your wallet or retrieve your login information. We are also not liable for any mishandling of transactions, such as entering incorrect addresses or exchange amounts.
- If you use the Payment without Password function of Tellaw, please ensure that you properly backup your Wallet Password. If you fail multiple attempts to verify your Touch ID or Face ID, you will need to input your Wallet Password. We do not store any biological information, such as Touch ID or Face ID, and we will not be held responsible for any issues related to this.
- Please note that Tellaw does not support all existing tokens, and we advise against using Tellaw for any non-supported tokens.
- The DApps integrated into Tellaw include those developed independently by us and third parties. We provide blockchain search and browser functions for third-party-developed DApps, but we do not guarantee their functions or service qualities. It is up to you to decide whether to use the services provided by or conduct transactions on the third-party-developed DApps.
- The DEX functions of Tellaw enable you to exchange digital Tokens via Smart Contracts, which are developed by third parties. Tellaw acts solely as a tool for you to interface with the third-party-developed Smart Contracts, and thus does not provide any guarantee for their functions or service qualities. Before accepting services or conducting transactions on such Smart Contracts, you should assess the risks of using such services or transactions.
- The cryptocurrency hardware wallet integrated into Tellaw is provided by a third party, and we do not guarantee its functions or service qualities. We also do not guarantee that Tellaw can be matched with any kind and version of cryptocurrency hardware wallet. Before using a third-party-developed cryptocurrency hardware wallet, you should carefully read and agree with the terms of use and any disclaimers.
- If you access any websites or third-party-developed DApps not integrated into Tellaw by entering a URL under developer mode, you acknowledge and agree that you understand the security risks of the websites and third-party-developed DApps linked by such URL, and assume all risks and consequences independently.
YOUR RIGHTS AND OBLIGATIONS
- Create or Import Wallet:
-Create or import wallet. You are entitled to use Tellaw on your mobile device to create and/or import wallet, set Wallet Password and use your wallet on Tellaw to transfer and receive Tokens on blockchain.
-Identification verification. Specific Users will be asked to complete identification verification before using Tellaw to comply with related laws and regulations, according to the notification of Tellaw. Specific Users may be asked to provide Personal Information including but not limited to name, identification card number, cell phone number, bank card information, etc., without which the Specific Users will not be able to use certain services and the Specific Users alone shall be responsible for the loss caused by their delay in completing the verification.
-We may develop different versions of Tellaw for different terminal devices. You shall download and install applicable version. If you download and install Tellaw or other application with the same name as “Tellaw” from any unauthorised third party, we cannot guarantee the normal operation or security of such application. Any loss caused by using such application shall be borne solely by you.
-A previous version of Tellaw may stop to operate after a new version is released. We cannot guarantee the security, continuous operation or customer services for the previous version. You shall download and use the latest version. - Use of Tellaw:
-You shall bear sole responsibility to take care of your mobile devices, Wallet Password, Private Key, Mnemonic Words and Keystore. We do not store or hold the above information for you. You shall be solely responsible for any risks, liabilities, losses and expenses which result from frauds, you losing your mobile device or crypto currency hardware wallet, disclosing (whether actively or passively) or forgetting Wallet Password, Private Key, Mnemonic Words or Keystore, or your wallet being attacked.
-Tellaw Alerts. You understand and agree to comply with the Alert(s) published by us on Tellaw. You shall be responsible for any risks, liabilities, losses and expenses which result from your failure to comply with any Alert(s).
-You understand that Tellaw undertakes no responsibility to conduct due diligence on the Third-Party Service. You shall assess carefully and assume all risks in connection with the use of Tellaw.
-Provision of information and documents. To the extent that we determine, in our sole discretion, that it is necessary to obtain certain information about User in order to comply with any applicable law or regulation in connection with the use or operation of Tellaw, you shall provide us with such information promptly upon such request, and acknowledges and accepts that we may restrict, suspend or terminate your use of Tellaw until such requested information has been provided to our satisfaction. You undertake to notify us of any change in the documents and information provided by you to us pursuant to these Terms of Service and in the absence of any notification in writing notifying of any change, we are entitled to assume that the documents and information provided by you remain true, correct, not misleading and unchanged.
-Complete identification verification. If we reasonably deems your operation or transactions to be abnormal, or considers your identification to be doubtful, or we consider it necessary to verify your identification documents or other necessary documents, you shall cooperate with us and provide your valid identification documents or other necessary documents and complete the identification verification in time. - Transfer of Tokens
-You understand that you may be subject to daily limits on the amount and times of transfers according to your location, regulatory requirements, transferring purposes, risk control by Tellaw, or identification verification.
-You understand that blockchain operations are “irrevocable”. When you use Tellaw to transfer Tokens, you shall be solely responsible for the consequences of your mishandling of the transfer (including but not limited to wrong address, problems of the node servers selected by you.
-You understand that the following reasons may result in a “transfer failed” or “mining overtime” prompt:
insufficient balance in wallet
insufficient gas for transaction
blockchain’s failure to execute the code of smart contracts
the transfer amount exceeding the transfer limits imposed by authorities, Tellaw or laws or regulations
technical failure of the network or equipment
abandoned transactions result from blockchain network congestion or failure
the wallet address of yours or your counterparty’s is identified as special addresses, such as high-risk address - You understand that Tellaw is only a tool for transfer of Tokens. We shall be deemed to have fulfilled its obligations once you have completed the transfer and shall not be held liable for any dispute in relation thereto.
- DEX: You understand that the limits of amounts that you may exchange via DEX per day are subject to limitations of the third-party-developed Smart Contracts. We may also set limitations and adjust from time to time the limit of amounts that you can exchange via DEX per day.
- Compliance: You understand that you shall abide by applicable laws, regulations and policies when you use Tellaw or the DApps or the Smart Contracts on Tellaw.
- Notifications: Tellaw may send notifications to you by web announcements, Notification Centre information, popup tips or client-end notices (e.g., information about your transfer or suggestions on certain operations) which you shall be aware of timely.
- Service fees and taxes:
-When you use DEX services, third-party-developed Smart Contracts may charge handling fees and/or service fees from you, which shall be subject to the fees collected by those Smart Contracts, and the relevant information displayed on Tellaw is merely for your reference.
-We do not charge you any service fees or handling fees for the time being. We may reach an agreement with you or announce rules regarding service fees in the future.
-You need to pay “gas” or network fees when you transfer Tokens, the amount of which would be on your sole discretion and would be collected by the relevant blockchain network.
-You understand that your transfer of Tokens may fail under certain circumstances, including but not limited to insufficient “gas” or network fees paid by you for the transfer of Tokens during the time of your transfer, or the relevant blockchain network being unstable, and in such event, you may still be charged gas by the relevant blockchain network, notwithstanding the failed transfer attempted.
-You shall bear all the applicable taxes and other expenses that occurred due to your transactions on Tellaw.
RISKS
- You acknowledge that blockchain technology is still an evolving field, and regulations may not be fully established. As a result, you may face significant risks, such as technology instability or issues related to fiat-token exchange. Additionally, you understand that tokens are highly volatile compared to other financial assets, and you should handle them in a reasonable manner that reflects your financial status and risk preferences. You acknowledge that market information is captured from exchanges by Tellaw and may not be the latest or best quotation for each token.
- If you or your counterparty fails to comply with these Terms of Service or follow instructions on the website or payment page, we do not guarantee a successful token transfer and will not be responsible for any consequences resulting from such a failure. You understand that blockchain transactions are irreversible and irrevocable once payment is received in a Tellaw wallet or third-party-developed wallet, and you and your counterparty are responsible for any liabilities and consequences resulting from your transactions.
- You understand and acknowledge that DEX transactions are initiated, executed, and completed using third-party-developed Smart Contracts. Tellaw only serves as an interface tool for you to interact with these Smart Contracts and displays relevant results of completed transactions.
- When using a third-party service through Tellaw, we strongly recommend that you carefully read and understand the terms of service, privacy policy, and other relevant documents and information provided by the third-party service. You should also evaluate the risks before making transactions on such third parties. You understand that any transactions and corresponding contractual relationships are between you and your counterparty, and we will not be held responsible for any risks, responsibilities, losses, or expenses incurred from such transactions.
- When transferring tokens directly to another wallet address, you are solely responsible for ensuring that your counterparty is a person with full capacity for civil acts and deciding whether to transact with them.
- You must check the official blockchain system or other blockchain tools when receiving an alert such as "transaction failed" or "mining overtime" to avoid repetitive transfers. Failure to follow this instruction may result in losses and expenses incurred from such repetitive transfers.
- After creating or importing a wallet on Tellaw, your Keystore, Private Key, and Mnemonic Words are stored only on your mobile device and will not be stored on Tellaw's servers. You may change to another mobile device to use Tellaw after backing up your wallet by following the instructions on Tellaw. If you lose your mobile device before writing down or backing up your Wallet Password, Private Key, Mnemonic Words, or Keystore, you may lose your tokens, and we will not be able to recover them. If your Wallet Password, Private Key, Mnemonic Words, or Keystore is disclosed or the device holding them is hacked or attacked, you may lose your tokens, and we will not be able to recover them. You will be solely responsible for any losses arising from the above.
- We recommend that you back up your Wallet Password, Private Key, Mnemonic Words, and Keystore by writing them down on paper or backing them up in password management apps. You should avoid using electronic methods such as screenshots, emails, note-taking apps in cell phones, text messages, WeChat, or QQ to backup this information.
- When choosing and purchasing a crypto currency hardware wallet, we recommend that you confirm whether the purchased hardware wallet matches the Tellaw version and purchase a brand-new wallet from official channels.

CHANGE, SUSPENSION, TERMINATION OF OUR SERVICES

-Material adverse change of applicable laws or policies; or
-Any other event(s) that we cannot control or reasonably predict. - We reserve the right to unilaterally suspend or terminate all or part of the Services or any function of Tellaw under the following circumstances:
-Death of users;
-If you steal others' wallets information or mobile devices;
-If you provide false Personal Information on Tellaw;
-If you refuse to allow mandatory update of Tellaw;
-If you use Tellaw OSC in breach of third-party-developed Open Source License or our notices;
-If you use Tellaw to commit illegal or criminal activities;
-If you hinder the normal use of Tellaw of other users;
-If you pretend to be our staff or management personnel;
-If you threaten our normal operations or computer system by attack, invasion, alternation, or any other means;
-If you use Tellaw to send spam; or
-If you spread rumors that endanger our goodwill and Tellaw;
-If you conduct any illegal activities, breach these Terms of Service, etc., or other circumstances under which we reasonably consider it necessary to suspend Services. - You are entitled to export your wallets within a reasonable amount of time if we change, suspend or terminate our Services.
YOUR REPRESENTATIONS AND WARRANTIES
- You are required to abide by all applicable laws and regulations of your country or domicile when using Tellaw. Using Tellaw for any unlawful purposes or by any unlawful means is strictly prohibited. You must not engage in any illegal activities while using Tellaw, including but not limited to: activities that endanger national security, disclose state secrets, overthrow the government or undermine national unity; any illegal conducts such as money laundering, illegal fund raising, etc.; accessing our services, collecting or processing our content, intervening or attempting to intervene with any user, by the use of any automated programs, software, network engines, web crawlers, web analytics tools, data mining tools, or similar tools, etc.; providing gambling information or inducing others to engage in gambling; invading others' Tellaw wallets to steal Tokens; engaging in any inaccurate or false transactions with the counterparty; committing any activities that harm or attempt to harm Tellaw's service system and data; and other activities that we consider inappropriate.
- You acknowledge that any violation of the law or breach of these Terms of Service by you will be your responsibility, and you will indemnify us against any losses, third-party claims, or administrative penalties incurred by us as a result of such contravention, violation, or breach, as well as any reasonable legal and administrative costs, fees, and expenses, including reasonable attorney's fees.
- You also confirm that you will pay the service fees charged by us in a timely manner (if applicable). We reserve the right to suspend our services if you fail to pay the service fees.
PRIVACY POLICY

DISCLAIMER AND LIMITATION OF LIABILITY
- We only undertake obligations as explicitly stated in these Terms of Service. You acknowledge and accept that Tellaw is provided on an "as is," "as available," and "with all faults" basis, and we shall not be liable for Tellaw malfunctioning due to any of the following reasons:
-System maintenance or upgrading of Tellaw
Force majeure, such as typhoons, earthquakes, floods, lightning, or terrorist attacks
-Malfunction of your mobile device hardware and software, and failure of telecommunication lines and power supply lines
Your improper, unauthorized, or unrecognized use of the Services
-Computer viruses, Trojan horse, malicious program attacks, network congestion, system instability, system or equipment failure, telecommunication failure, power failure, banking issues, government acts, etc.
-Any other reasons not imputed to us. - We shall not be held liable due to any of the following circumstances:
-You losing your mobile devices, deleting Tellaw applications and wallets without backup, forgetting Wallet Passwords, Private Keys, Mnemonic Words, Keystores without backup, which result in the loss of such User’s Tokens.
-You disclosing your Wallet Passwords, Private Keys, Mnemonic Words, Keystores, or lending or transferring your Tellaw wallets to others, or authorizing others to use your mobile devices or Tellaw wallets, or downloading Tellaw applications through unofficial channels, or using Tellaw applications by other insecure means, which result in the loss of your Tokens.
-You mishandling Tellaw (including but not limited to wrong address, failure of the node servers selected by you), which results in the loss of Tokens.
-You being unfamiliar with the lack of knowledge in relation to blockchain technology and your mishandling of Tellaw resulting in loss of your Tokens.
-Tellaw being unable to copy accurate transaction records due to system delay or blockchain instability, etc. - You undertake the risks and consequences arising or in connection with the following:
-Your transactions when using Third-Party Service.
-Your use of developer mode.
-Your use of DEX services, which shall be assumed by you, your counterparty, and issuers of relevant Smart Contracts. - You understand that Tellaw is only a management tool for Tokens, which is incapable of controlling the quality, security, and legitimacy of the Third-Party Service, or the authenticity and accuracy of their information and their capabilities to fulfill the obligations under the agreements with you. You, at your sole discretion, decide whether to use the Third-Party Service. You understand that such transactions and corresponding contractual relationships are between you and your counterparty, instead of us. We kindly remind you to carefully review the authenticity, legitimacy, and effectiveness of related information provided by Third-Party Service before you decide to use them. In addition, you shall also assume all the risks arising from the transactions between you and any third-party-developed exchanges.
- You acknowledge that Tellaw may provide services to you and your counterparty simultaneously or may have an affiliation or other interest relationship with foregoing parties, and you agree to waive any actual or potential conflicts of interests and will not claim against us on such base or burden us with more responsibilities or duty of care.
- We do not warrant that:
-Services provided by us would satisfy all your needs.
All techniques, products, services, information or other materials from us would meet your expectations.
-All the transaction information in digital Tokens markets captured from the third-party exchanges are prompt, accurate, complete, and reliable.
-Your counterparties on Tellaw will perform their obligations in the transaction agreements with you timely. - In any case, our total liability under these Terms of Service shall not exceed the greater of 1 ETH or 1000 Hong Kong dollars.
- You are aware that Tellaw is a tool for managing Tokens and displaying transaction information, and we do not offer legal, tax, or investment advice. It is recommended that you seek guidance from independent legal, tax, and investment advisors. Additionally, we are not responsible for any investment loss or data loss that may occur during your use of our services.
- Please note that we reserve the right to modify our entry standards, restrict the range and methods of service provision for certain users, and comply with applicable laws and regulations at any time.
Miscellaneous
- No Assignment. Only you and no other person have the right to make any claim against us in connection with the use of the Services. You are not allowed to assign, trade, or transfer your right to make such a claim, nor attempt to do so. Any such assignment or transfer will be void and will not impose any obligation or liability on us to the assignee or transferee.
- Intellectual Property Rights. Tellaw is an application developed and owned by us. We or third-party licensors own the intellectual property rights of any contents displayed in Tellaw, including these Terms of Service, announcements, articles, videos, audios, images, archives, information, materials, trademarks or logos. You can only use the Tellaw applications and its contents to hold and manage their Tokens. Without prior written consent or permit from relevant Open Source License from us or the third-party licensors, no one shall use, modify, decompile, reproduce, publicly disseminate, alter, distribute, issue or publicly publish the aforementioned applications and contents, including Tellaw OSC. These Terms of Service do not entitle you to any intellectual property rights, including the rights in relation to the use, for any purpose, of any information, image, user interface, logos, trademarks, trade names, internet domain names or copyright in connection with us or the Services.
- No Waiver. Our failure to enforce these Terms of Service or to assert any rights, claims, or causes of action against you under these Terms of Service shall not be construed as a waiver of our right to assert any rights, claims, or causes of action against you.
- Entire Agreement. These Terms of Service contain the entire agreement and understanding between us and supersede all prior agreements, understandings or arrangements, both oral and written, in relation to the use of Tellaw and the services in connection thereto. These Terms of Service include this Tellaw Terms of Service, Tellaw Privacy Policy, and other rules posted by us from time to time, excluding Tellaw Terms of Service and Tellaw Privacy Policy which are incorporated in these Terms of Service.
- Taxes. The use of Services shall be exclusive of all taxes that are applicable to, arising from, or in connection to your use of the Services in any jurisdiction (Payable Tax). You are responsible for determining any Payable Tax and declaring, withholding, collecting, reporting and remitting the correct amount of Payable Tax to the appropriate tax authorities. You are solely liable for all penalties, claims, fines, punishments, or other liabilities arising from the non-fulfillment or non-performance to any extent of any of your obligations in relation to the Payable Tax. We are not responsible for determining any Payable Tax and declaring, withholding, collecting, reporting and remitting the correct amount of Payable Tax to the appropriate tax authorities.
- Governing Law. These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Singapore.
- Jurisdiction. In the event of any dispute arising out of or in connection with these Terms of Service, including any question regarding its existence, validity or termination, the Parties shall first seek settlement of that dispute. In the event that such dispute is not resolved within a period of thirty (30) days from the commencement of such settlement process, such dispute shall be referred to and finally be resolved by arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The tribunal shall consist of a sole arbitrator to be appointed by the Chairman of the SIAC. The language of the arbitration shall be English. Each of the Parties irrevocably submits to the non-exclusive jurisdiction of the courts of Singapore to support and assist the arbitration
- Contracts (Rights of Third Parties) Act: The Contracts (Rights of Third Parties) Act (Chapter 53B) of the Republic of Singapore, as amended from time to time, applies to these Terms of Service. However, a person who is not a party to these Terms of Service shall not have any rights to enforce these terms.
- Severance: If any part of these Terms of Service is deemed void, illegal, or unenforceable by any applicable legislation, it shall only be void to that extent and no further. The rest of these Terms of Service shall remain valid and enforceable.
- 10.Partial Invalidity: The illegality, invalidity, or unenforceability of any provision of these Terms of Service under the law of any jurisdiction shall not affect its legality, validity, or enforceability under the law of any other jurisdiction, nor shall it affect the legality, validity, or enforceability of any other provision.
- 11.Translated Versions: Any translated versions of these Terms of Service are provided for your convenience and do not revise the English version. In case of any discrepancy between the English version and non-English version, the English version shall be considered the prevailing version.

- You are required to understand and comply with the laws, regulations, and rules related to the use of the Services in your jurisdiction.

- The Terms of Service are available to all Tellaw users. We recommend that you read them every time you log in to Tellaw.
- For any issues that are not addressed in this agreement, you must comply with the Company's updated announcements and relevant rules.
- These Terms of Service will take effect on Mar 10, 2023.
